1. Acceptance of these Terms
These Terms of Service and End-User License Agreement (the “Terms”) are an agreement between you and Speedotrack GPS (OPC) Private Limited (“Speedotrack”, “we”, “us”), the operator of Speedo One, also written SpeedoOne (the “Service”). The Service is available at https://speedoone.com, at https://app.speedoone.com and through the Speedo One mobile apps.
By signing up, clicking “I agree” or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind it, and “you” and “customer” then mean that organisation.
2. The Service
Speedo One is cloud business management software. Depending on your plan it includes modules such as CRM, accounting, HR and payroll, inventory and products, GPS and fleet tracking, team inbox and messaging, social media, payments and others.
We improve the Service continuously, so features, screens and modules may be added, changed or retired over time. We will not materially reduce the core functionality of a paid plan during a subscription term you have already paid for.
3. License grant
Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service, including the web application and the mobile apps, for your internal business purposes during your subscription term.
This is a licence to use the Service, not a sale. No ownership of the Service, the software or any copy of it passes to you.
4. Restrictions
You must not, and must not allow anyone else to:
- reverse engineer, decompile or disassemble the Service or try to derive its source code, except where the law expressly allows it;
- copy, modify, rent, resell, sublicense or offer the Service to third parties as a service of your own;
- circumvent or interfere with security features, access controls or usage limits;
- scrape, crawl or extract data from the Service by automated means other than the interfaces we provide;
- use the Service to break any law, infringe anyone’s rights, or send spam or unsolicited messages;
- upload or transmit viruses, malware or any other harmful code.
5. Accounts and security
You must give accurate and complete information when you create an account and keep it up to date.
You are responsible for the users you invite to your account and for everything done under it. Keep passwords and other credentials confidential, and tell us promptly at info@speedoone.com if you believe your account has been used without permission.
6. Customer data
You own the data you and your users put into the Service (“Customer Data”). You grant us a licence to host, store, copy, process and display Customer Data only as needed to provide, maintain, secure and support the Service for you.
We handle personal data in line with our Privacy Policy.
You are responsible for having all the rights, permissions and consents needed for the Customer Data you upload, including personal data about your customers, staff and contacts.
7. Third-party services and integrations
The Service can connect to third-party services that you choose to use, including Intuit QuickBooks Online, Zoho Books, Google, Meta (WhatsApp, Facebook and Instagram), payment gateways such as bKash and Razorpay, and others.
When you connect a third-party service, you authorise Speedo One to access and exchange data with that service on your behalf, only as needed for the features you use. For example, with QuickBooks Online this means importing your chart of accounts, customers, vendors, items and balances, and exporting invoices, bills and payments.
Your use of a third-party service is governed by that provider’s own terms and privacy policy. We do not control third-party services and are not responsible for them, their availability or how they handle your data.
You can disconnect an integration at any time from within Speedo One (for QuickBooks, under Accounting → Settings). Disconnecting stops any further access. Access tokens for connected services are stored encrypted and are deleted when you disconnect.
8. Fees and payment
You agree to pay the subscription fees for your plan or order. Fees are exclusive of taxes, which are added where applicable. Unless your order says otherwise, subscriptions renew automatically for the same term at the then-current price until cancelled.
If fees are not paid when due, we may suspend access to the Service after giving you notice.
9. Intellectual property
The Service, its software, designs, documentation, logos and trademarks, including “Speedo One” and “SpeedoOne”, belong to Speedotrack or its licensors and are protected by law. All rights not expressly granted in these Terms are reserved.
If you send us suggestions or feedback, we may use them freely and without any obligation to you.
10. Confidentiality
Each party may receive confidential information from the other. Each party will use the other’s confidential information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to people who need to know it and are bound by similar duties, or where the law requires.
11. Availability and support
We use reasonable efforts to keep the Service available and to provide support. We may carry out planned maintenance, and we try to schedule it at quiet times and give notice where we can.
We do not guarantee that the Service will be uninterrupted, error-free or available at all times.
12. Disclaimer of warranties
To the fullest extent allowed by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Accounting, tax, payroll and compliance outputs, such as reports, returns and invoices, are tools to help you. You are responsible for reviewing them, with your own accountant or adviser where appropriate, before relying on or filing them.
13. Limitation of liability
To the fullest extent allowed by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, however caused.
Our total liability arising out of or relating to these Terms or the Service is limited to the fees you paid us for the Service in the 12 months before the event that gave rise to the claim.
14. Indemnity
You will defend and indemnify Speedotrack against claims, losses and costs arising from your misuse of the Service, your breach of these Terms, or Customer Data you uploaded without the necessary rights or consents.
15. Suspension and termination
Either party may terminate these Terms as set out in your plan or order, or by closing the account. We may suspend or terminate access if you materially breach these Terms or do not pay fees when due.
After termination, you can ask us to export your Customer Data within 30 days by writing to info@speedoone.com. After that period the data may be permanently deleted.
16. Changes to these Terms
We may update these Terms from time to time and will change the date at the top of this page. If a change is material, we will notify you by email or in the Service before it takes effect.
Continued use of the Service after an update takes effect means you accept the revised Terms.
17. Governing law and disputes
These Terms are governed by the laws of India. The courts at Ranchi, Jharkhand have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
